Lenga Store Publisher Agreement

Effective Date: October 5, 2026 • Operated by Tanshi Digital Solutions

This Publisher Agreement (“Agreement”) is entered into between Tanshi Digital Solutions, operator of the Lenga Store platform (“Lenga Store”, “Lenga”, “we”, “our”, or “us”), and the publisher, author, educational institution, organization, or rights holder registering to distribute content through Lenga Store (“Publisher”, “you”, or “your”).

By creating a Publisher Account or uploading content to Lenga Store, you agree to be bound by this Agreement.

1. Purpose

Lenga Store is a digital marketplace that enables publishers to distribute, market, and sell digital books, educational materials, and related content to readers through the Lenga ecosystem.

This Agreement governs the relationship between Lenga Store and Publishers participating in the platform.

2. Eligibility

To publish content through Lenga Store, you must:

  • Be at least 18 years old or legally authorized to act on behalf of an organization.
  • Have the legal right to distribute submitted content.
  • Provide accurate registration and payment information.
  • Comply with applicable laws and regulations.

Lenga Store may request additional verification information before enabling publishing or withdrawals.

3. Ownership of Content

Publishers retain all ownership rights, copyrights, trademarks, and intellectual property associated with their content.

Nothing in this Agreement transfers ownership of content to Lenga Store.

4. License Granted to Lenga Store

The Publisher grants Lenga Store a non-exclusive, worldwide, royalty-bearing license to:

  • Host content.
  • Store content.
  • Display book listings.
  • Generate previews and sample pages.
  • Deliver purchased content to customers.
  • Promote and market content through Lenga Store services.
  • Provide access to content through approved subscription programs when the Publisher has explicitly opted in.

This license remains in effect while content is available on the platform.

5. Non-Exclusive Distribution

Content distributed through Lenga Store remains non-exclusive.

Publishers may distribute the same content through:

  • Their own websites.
  • Other bookstores.
  • Educational platforms.
  • Third-party marketplaces.

Lenga Store does not require exclusivity.

6. Pricing

Publishers control the retail pricing of their content.

Publishers may:

  • Set prices.
  • Modify prices.
  • Participate in promotions.
  • Run discounts.

Lenga Store may propose participation in bundles, promotions, educational programs, or subscription offerings. Participation in such programs requires Publisher approval unless otherwise agreed.

7. Revenue Share

For standard marketplace sales:

Publisher Share

75%

Publisher receives seventy-five percent (75%) of net sales revenue.

Platform Fee

25%

Lenga Store receives twenty-five percent (25%) of net sales revenue.

Net sales revenue means the amount received after any applicable taxes, refunds, chargebacks, payment processor fees where required by law, and mandatory government deductions.

Lenga Store may introduce alternative commercial arrangements for subscriptions, institutional licensing, or special programs. Such arrangements will be communicated separately and may require Publisher consent.

8. Subscription Programs

Participation in subscription programs is optional.

Publishers may choose whether specific titles are included in subscription offerings.

Revenue generated through subscription programs may be distributed using engagement-based, usage-based, revenue-pool, or other approved compensation models communicated by Lenga Store.

9. Educational and Institutional Licensing

Lenga Store may offer content to:

  • Schools
  • Colleges
  • Universities
  • Libraries
  • Government institutions
  • Educational organizations

Participation in institutional licensing programs may be subject to additional terms and compensation structures. Where possible, Publishers will be informed of institutional licensing opportunities involving their content.

10. Payments and Withdrawals

Publisher earnings are recorded in the Publisher Dashboard.

Revenue from sales may be subject to a settlement period before becoming available for withdrawal.

Lenga Store may establish:

  • Minimum withdrawal thresholds.
  • Verification requirements.
  • Anti-fraud reviews.
  • Payment processing schedules.

Available withdrawal methods may vary by country and payment provider.

11. Taxes

Publishers are responsible for determining, reporting, and paying any taxes applicable to their earnings.

Lenga Store may collect information necessary to comply with tax or regulatory obligations.

12. AI-Generated Content Disclosure

Publishers must accurately disclose the use of generative artificial intelligence in submitted content.

Content must be categorized as one of the following:

Human Written

No generative AI was used in creating the content.

AI Assisted

Generative AI was used for limited assistance, including editing, grammar improvement, brainstorming, formatting, or research support.

AI Generated

A substantial portion of the content was generated by artificial intelligence systems.

Publishers are responsible for ensuring disclosures are truthful and accurate. Failure to disclose AI-generated content may result in content removal, account suspension, or termination.

13. Content Standards

Publishers agree not to upload content that:

  • Infringes copyrights or trademarks.
  • Violates applicable laws.
  • Contains malicious software.
  • Promotes fraud or illegal activities.
  • Includes misleading ownership claims.
  • Contains unauthorized personal information.

Lenga Store reserves the right to review, reject, remove, or suspend content that violates these standards.

14. Copyright Claims

Publishers represent and warrant that they possess all rights necessary to distribute submitted content.

If a copyright complaint is received, Lenga Store may:

  • Temporarily remove content.
  • Request additional documentation.
  • Suspend sales during investigation.

Repeated copyright violations may result in permanent account termination.

15. Publisher Verification

Lenga Store may require identity, organizational, banking, or business verification before enabling publishing privileges, higher withdrawal limits, or access to certain platform features.

16. Suspension and Termination

Lenga Store may suspend or terminate accounts that:

  • Violate this Agreement.
  • Engage in fraud or abuse.
  • Repeatedly infringe intellectual property rights.
  • Misrepresent content ownership.
  • Circumvent platform systems.

Publishers may remove content or close their accounts at any time, subject to outstanding obligations and customer access requirements.

17. Limitation of Liability

To the maximum extent permitted by law, Tanshi Digital Solutions and Lenga Store shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from participation in the platform.

18. Changes to This Agreement

Lenga Store may update this Agreement from time to time.

Material changes will be communicated through the Publisher Dashboard, website, application, or registered email address.

Continued use of the platform after changes become effective constitutes acceptance of the revised Agreement.

19. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of Zambia.
